Item No. 24. First Philadelphia Preparatory Charter School – Application for Charter Renewal - Added 1.19.2023/Updated 1.26.2023 - FAILED President Streater provided remarks clarifying concerns he raised during the October Board meeting. President Streater spoke about concerns with structures impacting the operations of some charter schools that can limit a charter school’s ability to remain independent and ensure arms’ length transactions between charter schools and management companies, noting that circumstances in charter school operations and finances can, and do, have real, tangible, and potentially detrimental effects on students that may not be readily obvious to the public or even to school communities and that that he would like to see clear conditions which ensure no overlap of legal representation between the charter school and the management company in relation to the management agreement and other direct arrangements between the two entities to provide

assurances that the management agreements are the results of arms-length negotiations, and that the charter school maintains its autonomy and ability to make decisions independently and in the best interests of learners and their families. Board Member Wilkerson asked clarifying questions to understand the impact of the Board’s decision, specifically asking for clarification regarding if the Board votes to pass the motion to grant a renewal does that mean that the school gets a renewal as of 2022. Lynn Rauch, General Counsel, responded that if five Board members vote yes on the motion, then the Board is passing the motion and granting the renewal charter; that if the motion does not receive five yes votes or receives five no votes, that means that the Board has not granted a renewal charter at this time but it does not constitute a decision to proceed with nonrenewal hearings; and that the Board may

consider a vote on a motion to renew this charter at a later time. Board Member Salley asked for clarification regarding what could drive a return of the action items back to the Board. Board Member Lam asked Ms. Rauch to clarify that the response provided would also apply to Action Item 24, 25, and 26. Ms. Rauch confirmed that the response provided would apply.
